Legal · terms of service
These terms govern the use of this website and the patch room services provided by Eds Technology Inc. from its Edmonton premises. Please read them before booking a round or sending an enquiry.
These Terms of Service form a binding agreement between you and Eds Technology Inc., a computer integrated systems design practice at 1704 167 St Sw, EDMONTON - T6W 3C5, Canada (CA). They apply to your use of this website and to the patch room services described on the services page.
By browsing the site, sending an enquiry or booking a round, you confirm that you have read these terms and that you accept them. If you are acting for an organisation, you confirm that you have authority to accept them on that organisation behalf. If you do not accept these terms, please do not use the site or engage the services.
A signed statement of work, a bay plan or a written quotation issued by the Company may add to or vary these terms for a particular engagement. Where the documents conflict, the signed statement of work prevails, followed by the written quotation, followed by these terms. These terms are not replaced by any purchase order, portal click or supplier form unless the Company agrees to that replacement in writing.
The following words carry the meanings given here throughout these terms. Additional definitions may appear in a statement of work for a particular engagement.
The singular includes the plural and the plural includes the singular. A reference to writing includes email unless a signature or a physical document is expressly required.
The services are provided to businesses, institutions and professional organisations. They are not intended for personal or household use, and they are not offered to consumers who require protections that are specific to consumer transactions. By engaging the Company you confirm that you represent a business or institution and that the work is connected to your trade, profession or business activity.
You must be old enough to form a binding contract in your jurisdiction. If you are sending an enquiry on behalf of an organisation, you confirm that the organisation authorises you to do so and that you will pass these terms to the people who will be present while the work is performed.
The Company may decline an engagement where the proposed work falls outside the defined scope of the patch room, where a client cannot provide safe access to the bay, or where a proposed instruction would require the Company to act contrary to law or professional ethics. A decision to decline is not a judgement about you and does not create any liability.
You may read the pages of the site, print them for your own reference and link to them. You may quote short passages with attribution. You may not copy the design, the text or the code of the site into another publication, product or website without written permission. You may not use automated tools to scrape the site in a way that places an unreasonable load on the hosting provider.
You must not attempt to gain unauthorised access to the site, its server or any system behind it. You must not inject code, probe for vulnerabilities or interfere with the availability of the site. The Company welcomes responsible disclosure of a security issue and will respond to a good faith report without treating it as an attack, provided the report is made privately and the issue is not exploited.
The enquiry form on the contact page prepares a message in your email application. You are responsible for the accuracy of the information you enter and for the content of the message you send. Do not use the form to send unsolicited advertising, malicious code or material that infringes the rights of another person.
The Company provides computer integrated systems design work through six repeating rounds. Rack Bay Desk produces the bay plan. Loom Dressing Rounds comb, lace and tag the cable looms. Patch Side Weeks reconcile the patch field and record every jumper moved. Circuit Test Days prove the runs and record the readings. Label Run Sessions print and apply a consistent label family and walk the schedule against the bay. Tie Wrap Evenings reset the room and close the week with a written note.
Each round is described on the services page and is delivered according to the process published there. The Company will perform the rounds with the skill and care that is reasonable for a professional practice of its size and discipline. The Company will follow the ordered sequence of rounds unless a written agreement states otherwise, because building out of sequence undermines the records the client receives.
The scope of an engagement is limited to the rounds named in the written quotation or statement of work. Work that is not named in the quotation is outside the scope, even if it appears obvious or useful. The Company may suggest additional rounds, but no additional work is performed or charged without a recorded agreement.
An engagement begins when the Company and the client agree on a written quotation or statement of work. The agreement should identify the rounds to be performed, the bay concerned, the proposed dates, the fee and any assumptions about access, power and site readiness. Verbal discussions, email estimates and site visits do not create an engagement on their own.
The Company may require a deposit before scheduling a build or test week, particularly where material or contractor time must be reserved in advance. The amount of any deposit is stated in the quotation. A deposit is applied against the final invoice and is not a separate fee.
Where the client is an organisation with its own procurement process, the Company will work with that process where it does not conflict with these terms. The Company does not accept terms that transfer liability in a way that is disproportionate to the size of the engagement or that require insurance limits beyond those the Company reasonably maintains.
A quotation is valid for the period stated on its face. If no period is stated, it is valid for thirty days from the date of issue. A quotation is based on the information available at the time, including the description of the bay, the equipment to be integrated and the access arrangements. If that information changes, the quotation may be revised.
An estimate is an informed opinion, not a fixed price. Where the Company provides an estimate, the final fee may differ if the work proves more or less extensive than expected. The Company will tell the client promptly if it believes that a final fee will exceed an estimate by a material amount and will seek instructions before continuing.
Travel, accommodation and the hire of specialist test equipment are not included in a quotation unless listed. Where such costs are expected, they are shown separately so that the client can see the whole picture before accepting the quotation.
Rounds are scheduled by agreement and are subject to the availability of the room and the team. The Company maintains a working calendar and will confirm dates in writing. A round is confirmed only when the client receives written confirmation and, where required, the deposit has cleared.
The client is responsible for providing safe and timely access to the bay and to any adjacent space needed for work. This includes access to power, adequate lighting, a safe route for carrying equipment and, where the bay is on a client site, the permissions required for the team to be present. Where access is delayed, the schedule may need to move and additional charges may apply.
The Company will notify the client of any change to a confirmed date as soon as the change is known. Where the change is caused by the Company, the Company will offer an alternative date at the earliest reasonable opportunity and will not charge for the rescheduling.
To allow the rounds to be performed properly, the client must provide accurate information about the system, the bay and the equipment involved. The client must identify any part of the system that is fragile, obsolete, under warranty or subject to a third party support agreement before work begins, so that the team can plan around it.
The client is responsible for the accuracy of the equipment list and for any third party licence or support arrangement connected to that equipment. The Company does not verify the licensing position of client software and does not provide legal advice about it.
Every round produces a record. The record is written as the work proceeds and is intended to describe what was actually found and performed rather than what was planned. The record belongs to the client on delivery of the handover pack, and the Company keeps a copy for its own use as described in the privacy policy.
Records are working documents. They are not certificates of compliance with any external standard, they are not a guarantee that a system will perform in every future condition, and they do not replace the client own operational or safety procedures. Where a client requires a formal certificate from a third party body, that certificate must be obtained separately.
The Company retains the right to reference the existence of an engagement in general terms, for example by noting that a bay of a certain type was dressed in a particular month. The Company will not use a client name, logo or identifying detail in a public reference without written permission.
A finding is recorded when a run fails a proof, when a patch does not match the schedule, when a label is wrong or when the condition of a component is uncertain. Findings are dated, described in plain language and assigned to an owner. A finding is never crossed out quietly and a pass is never assumed for an untested run.
Findings that fall within the scope of the engagement will be addressed by the team. Findings that depend on a third party, a replacement part or a change in the system design are recorded as open items. An open item remains the responsibility of the client to resolve unless the client instructs the Company to carry out the additional work and agrees a fee for it.
The client acknowledges that a system may contain findings that cannot be resolved within the scheduled round. The Company is not in breach of the agreement because an open item remains at handover, provided that the item is recorded and the client is told about it in writing. A system is not described as proved while an open item remains on its sheet.
Fees are stated in the quotation and are based on the rounds to be performed, the time required and the complexity of the bay. Unless the quotation states otherwise, fees are quoted as a fixed sum for the described scope. Where work is performed on a time and materials basis, the quotation states the applicable rates and the client is entitled to a summary of the time recorded.
Invoices are issued on completion of a round or at the intervals stated in the quotation. Payment is due within thirty days of the invoice date unless a different period is stated. Payment may be made by the methods listed on the invoice. The Company does not accept cash payments at the room without prior arrangement.
Where an invoice remains unpaid beyond the due date, the Company may charge interest at a reasonable commercial rate from the due date until payment is received. The Company may also suspend further rounds on any engagement with the same client until the outstanding amount is settled. Interest is not a penalty and will be waived where the delay is caused by a documented administrative error on the Company part.
Fees are stated exclusive of applicable taxes unless the quotation says otherwise. Goods and services tax and any other applicable tax will be added to the invoice where the law requires it. The client is responsible for providing any exemption certificate that it wishes the Company to apply, and for informing the Company of any change in its tax status.
Amounts are invoiced in Canadian dollars unless a different currency is agreed in writing. A client that pays in another currency bears any conversion cost and any difference caused by exchange rates on the date of payment.
Each party is responsible for its own taxes on its own income. Nothing in these terms creates a partnership, joint venture or employment relationship between the parties, and neither party is authorised to bind the other in any dealing with a third party.
A client who needs to cancel or reschedule a confirmed round should give at least five working days notice. Notice allows the room to offer the slot to another client and to release any materials that were reserved for the round. Where notice is shorter than five working days, the Company may charge a reasonable amount for the time and materials already committed, and will explain the charge in writing.
Where the Company must cancel a round, it will give as much notice as it can, offer an alternative date and refund any deposit that has not been earned. The Company will not charge for a round that it cancels.
A client who cancels an engagement entirely remains liable for the fees and costs connected to rounds already performed. Work performed is work performed, and the handover pack for a completed round is delivered even where the wider engagement ends early.
A change to scope is recorded in writing before the additional work begins. A change note states what is added or removed, the effect on the schedule and the effect on the fee. The Company will not begin additional work on the strength of a verbal instruction alone, because a disputed invoice helps neither party.
Where a change is small and arises naturally during a round, for example an extra label strip within the same family, the Company may carry it out and record it at no additional charge. The distinction between a small inclusion and a scope change is made in good faith and is recorded on the round sheet.
If a change affects work already performed, the Company may need to redo part of that work in order to keep the system coherent. The cost of redoing completed work in response to a client requested change is chargeable unless the change is needed to correct an error of the Company.
The Company may engage a trusted contractor to support a round, for example where specialist testing equipment or an additional pair of hands is needed. Contractors work under the supervision of the Company and are bound by the same confidentiality and conduct expectations as the room team. The Company remains responsible to the client for the work performed by a contractor.
A client may ask that a particular individual does not attend a round, and the Company will consider the request. Where the request relates to a safety or conduct concern, the Company will act on it without requiring the client to justify it in detail.
The Company does not permit a client to direct the daily work of a Company contractor in a way that would create an employment relationship. The client directs the outcome through the agreed scope; the Company directs the method and the order of the rounds.
Equipment that belongs to the client remains the property of the client. The Company takes reasonable care of equipment while it is in the room and while it is mounted in a bay. Where a device is in a fragile, obsolete or already failing condition, the client should say so before the round begins, so that the risk can be recorded and managed.
The Company is not responsible for business data stored on client equipment. The client is responsible for taking backups before any round that involves moving, remounting or patching equipment. Where the client asks the Company to work around a data set or a running service, the Company will follow written instructions but will not inspect or copy the data.
Where equipment must be left in the room overnight, the room is locked outside working hours. The Company will not accept delivery of equipment that was not agreed in advance, and will not store equipment for a client beyond the end of the engagement without a written arrangement.
The Company designs, builds, dresses, tests and labels integrated systems. The Company does not sell hardware and does not take a margin on equipment. The Company does not operate as a repair shop and does not provide general computer repair. The Company does not act as a general contractor for building work, and does not provide legal, tax, safety or regulatory advice.
Where an engagement needs a licensed trade, an electrical contractor, a hardware supplier or a professional adviser, the Company will tell the client and will help to place that work clearly. The Company does not absorb that work into the patch room, and a client should not rely on the Company to supervise a trade that was engaged separately.
The Company does not provide an on call emergency service. If a client requires urgent attendance, the Company will do what it reasonably can during room hours, but a call out is not part of the standard rounds and is not covered by a quotation unless the quotation says so explicitly.
The design of the site, the text on its pages and the code behind them belong to the Company and are protected by copyright. The round names, the process descriptions and the written documentation produced by the Company remain the intellectual property of the Company, subject to the licence described below.
On payment of the fees for an engagement, the Company grants the client a perpetual, non exclusive licence to use the records delivered in the handover pack for the purpose of operating, maintaining and extending the system they describe. The client may share the records with a third party technician who takes over the work. The client may not publish the records, sell them or present them as its own design work without written permission.
Methods, templates and general know how that the Company develops in the course of its practice remain available to the Company for use in other engagements, provided no client confidential information is disclosed. This clause survives the end of the engagement.
Each party may receive information that the other treats as confidential. Confidential information includes bay plans, network details, equipment lists, commercial terms and any document marked as confidential. A party that receives confidential information will use it only for the engagement and will not disclose it to a third party except where necessary to perform the work or where the law requires disclosure.
Confidentiality does not apply to information that is already public, that the receiving party already held lawfully before the engagement, that the receiving party develops independently or that the receiving party is required to disclose by a court or a regulator. Where disclosure is required, the receiving party will tell the other party promptly where the law allows.
Confidentiality continues for five years after the end of the engagement, and continues indefinitely for information that is a trade secret. The obligation does not extend to routine information that any person in the room could observe, such as the colour of a loom or the fact that a bay exists.
The Company warrants that the services will be performed with reasonable skill and care by competent personnel, that the rounds will follow the published process, and that the records delivered will accurately reflect the work performed and the findings observed at the time.
The site and its content are provided as they are. The Company does not warrant that the site will be available without interruption, that it will be free of every error or that every page will display identically in every browser. The Company does take reasonable care to keep the site accurate and will correct a material error once it is known.
Except as stated in this section, the Company gives no warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. The client is responsible for deciding whether the system as built is suitable for the client own operational needs, and for testing that system in the client own environment before it is relied upon.
To the extent permitted by law, the Company is not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of revenue, loss of business opportunity, loss of data or interruption of business, even where the possibility of that loss was mentioned at the beginning of the engagement.
The total liability of the Company for all claims arising out of or in connection with an engagement is limited to the total fees paid by the client for the round or rounds out of which the claim arises. This limit applies in contract, in tort and under any other legal basis, and it applies whether the claim is brought by the client or by a third party.
Nothing in these terms excludes liability that cannot be excluded by law, including liability for fraud, for wilful misconduct or for death or personal injury caused by negligence. Where a jurisdiction does not permit a particular exclusion, that exclusion is read down to the minimum extent required, and the rest of these terms remain in force.
The client will indemnify the Company against claims, losses and reasonable costs that arise from information the client provided that was materially inaccurate, from a system or instruction that the client supplied and that infringes the rights of a third party, or from the client own use of the system after handover in a way that was not disclosed during the engagement.
The Company will indemnify the client against claims that the Company original documentation infringes the intellectual property of a third party, provided the client notifies the Company promptly and allows the Company to manage the response. This indemnity does not extend to a claim that arises from a change the client made to the documentation after delivery.
A party seeking indemnity must give the other party prompt notice, reasonable cooperation and the opportunity to participate in the defence of the claim. A party that fails to give prompt notice remains liable to the extent that the failure increased the loss.
Either party may end an engagement where the other party commits a material breach and does not remedy it within a reasonable period after written notice. Either party may end an engagement immediately where the other party becomes insolvent or is unable to pay its debts as they fall due.
The Company may suspend work where a client has not provided the access, information or safety conditions needed to continue, or where an invoice remains unpaid after a written reminder. Suspension is not termination. The engagement resumes when the issue is resolved, and any resulting change to the schedule is agreed in writing.
On termination, the client pays for rounds performed and costs committed up to the date of termination. The Company delivers the handover pack for any completed round and returns client equipment that is in its possession. The clauses on confidentiality, intellectual property, liability and governing law survive the end of the engagement.
Neither party is liable for a delay or failure to perform that is caused by an event beyond its reasonable control. That includes severe weather, fire, flood, epidemic, civil disruption, failure of a public utility, interruption of transport or a failure of a service provider that could not reasonably have been anticipated.
A party affected by such an event will tell the other party promptly, will describe the effect on the engagement and will use reasonable efforts to reduce that effect. Dates that are affected are extended by the period of the delay. Where the event continues for a prolonged period that makes the engagement impractical, either party may end the engagement by written notice without penalty for the part that was not performed.
Force majeure does not excuse a failure to pay an invoice for work already performed. It also does not excuse a failure that is caused by a party own lack of foresight where the event was foreseeable and could have been prepared for at reasonable cost.
The Company handles personal information as described in the privacy policy published on this site. The privacy policy forms part of these terms. Where these terms and the privacy policy address the same matter, the privacy policy governs the handling of personal information and these terms govern the commercial relationship.
A client that provides personal information about its staff to the Company is responsible for having the right to share that information. The Company uses it only for the engagement, keeps it only for the period described in the privacy policy and does not use it for marketing.
If you have a question about privacy that is not answered by the privacy policy, please write to help@edstech.lol and it will be answered by a person who handles the practice records.
The site may link to websites operated by other organisations. A link is provided for convenience and does not mean that the Company endorses the content, the products or the practices of the destination. The Company does not control third party websites and is not responsible for their content or their privacy practices.
Where an engagement involves a product supplied by a third party, that product is governed by the terms of its supplier. The Company does not provide a warranty for a third party product and cannot override the supplier own support arrangements. Where a product fails, the Company will help the client to gather the information the supplier needs, within the agreed scope.
A reference to a product or a standard on this site is descriptive. It is not a claim that the Company is certified by the body that publishes the standard, and it is not an offer to provide certification services.
These terms and any engagement under them are governed by the laws of the Province of Alberta and the laws of Canada that apply in that province, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts of Alberta for the resolution of a dispute that cannot be settled by agreement.
Before starting proceedings, the parties will try to resolve the dispute through a written exchange followed by a meeting, in person or by telephone, within twenty one days of the dispute being described in writing. Each party will send a short written account of the matter and the outcome it seeks. The Company will attend that meeting in good faith.
Where a dispute concerns a technical question about a round, the parties may agree to appoint an independent person with relevant experience to review the record and give a non binding opinion. The cost of that review is shared equally unless the parties agree otherwise. This does not prevent either party from seeking urgent relief from a court where necessary.
These terms, together with the privacy policy and any statement of work, form the entire agreement between the parties on the subject matter and replace any earlier discussion. A failure to enforce a provision is not a waiver of that provision. If a provision is found to be invalid or unenforceable, it is read down or removed to the minimum extent required, and the remaining provisions continue in force.
A party may not assign its rights under these terms without the written consent of the other party, except to a successor that acquires substantially all of the relevant business. A notice under these terms must be in writing and sent to the email or postal address last provided by the receiving party.
Nothing in these terms creates a third party beneficiary right, except where expressly stated. The headings are for convenience and do not affect the interpretation of a clause. These terms are written in English, and any translation is provided for convenience only; in the event of a conflict, the English text prevails.
Questions about these terms, requests for a quotation and notices in connection with an engagement can be sent to the room using the details below. Please include the name of any round referred to so that the message reaches the right record.
